American Integrity Announces Full Exercise of Underwriters’ Option to Purchase Additional Shares of Common Stock

TAMPA, Fla.--(BUSINESS WIRE)--American Integrity Insurance Group, Inc. (“American Integrity”) announced today that in connection with the previously announced initial public offering of 6,875,000 shares of its common stock, which closed on May 9, 2025, the underwriters of its initial public offering exercised in full their option to purchase an additional 1,031,250 shares of common stock from existing stockholders of American Integrity at the initial public offering price of $16.00 per share, less the underwriting discount. With this exercise, 7,906,250 shares of common stock were sold in the initial public offering, of which 6,250,000 were sold by American Integrity and 1,656,250 were sold by existing stockholders. American Integrity will not receive any proceeds from the underwriters’ election to exercise their option to purchase the additional shares of common stock.

American Integrity’s common stock began trading on the New York Stock Exchange on May 8, 2025 under the symbol “AII.”

Keefe, Bruyette & Woods, A Stifel Company, Piper Sandler, and William Blair acted as the active bookrunners for the offering. Citizens Capital Markets and Raymond James acted as passive bookrunners for the offering. Oppenheimer & Co. acted as a co-manager for the offering.
