Voya Financial Issues Advisory to Shareholders Regarding Private Straw Poll

NEW YORK--(BUSINESS WIRE)--Voya Financial, Inc. (NYSE: VOYA) (the “Company”) is aware of a private shareholder poll currently being promoted by TOMS Capital Investment Management LP and affiliates (“TCIM”).

This straw poll is not sponsored by the Company, and is not connected with any actual shareholder vote, Company action, or other matter requiring shareholder attention. Voya shareholders do not need to respond to any solicitation you may receive.

Voya advises shareholders that the materials TCIM has produced in connection with its straw poll contain numerous inaccurate or misleading statements, including reproduced media reports that consist of outright falsehoods. You may disregard these materials if they are sent to you.

At Voya’s most recent annual shareholder meeting held only four months ago, our shareholders exercised their voting rights to overwhelmingly support the election of Voya’s Board of Directors and its executive compensation. In that vote, each of Voya’s directors and the “say-on-pay” vote received more than 98% support from our shareholders. Voya’s next annual shareholder meeting is expected to be held in May 2027, and we encourage all shareholders to participate in that meeting.

Voya maintains an active shareholder engagement program and regularly seeks shareholder perspectives on the Company, its strategy, management, governance, and financial performance. We welcome constructive input from shareholders and value the productive dialogue we have with many of our investors.

We also support the responsible use of the Securities and Exchange Commission (SEC) proxy system to facilitate the crucial role that shareholders play in corporate governance. We appreciate the SEC’s recent efforts to preserve the integrity of that system by limiting its misuse by those for whom it functions primarily as a convenient publicity platform, detracting from its intended purpose of promoting the exercise of shareholder rights at company meetings. In our view, the proxy filings made by TCIM raise the same policy concerns as those recently addressed by the SEC, and we consider filings of this nature to be a natural next area of attention.
